With the globalization and rapid development of information technology,enterprise organization form had changed greatly.This dissertation attempts to solve this problem theoretically in the following aspects: under the framework of the theory of the internal market,based on the internal transaction fee perspective,analysis of the internal market boundary mode,elements and applications.Moreover under asymmetrical information conditions,this thesis addressed the adverse choice and moral risk into principal-agent relationship in the internal market.Finally,in practice,based on he system of the internal markets,the principles to establish internal market are discussed.

一、北部湾海洋渔业资源状况 北部湾(古称东京湾)是南海西北部天然的半封闭浅水海湾,北为广西壮族自治区,东为广东省的雷州半岛,东南为海南,西为越南,水域面积12.8万km2.湾底地形平坦,海水平均深度为40～50m,最大水深约80m.

金融危机引发国际市场需求锐减,将东部地区以代工制造为主导的产业置于前所未有的困境之中.本文认为,其根本原因在于出口导向型代工产业自身的固有缺陷,即严重依附于跨国公司和国际采购商的生产者驱动和购买者驱动,金融危机只是一个"放大器".出口导向型代工产业由于内在升级动力机制无法有效建立,造成产业内源性升级缓慢,但金融危机却在客观上为产业外源性升级提供了契机.金融危机背景下东部地区产业升级的方向在于:一是沿着产业链的上游进行技术破坏,从代工供给终端摆脱对生产者驱动的依附;二是沿着产业链的下游进行市场破坏,从代工需求终端摆脱对购买者驱动的依附.

Limited by its background,agency theory assumes the controlling family as ablack box,which is difficult to solve fundamentally the issue of family business governance.Based on the theory of altruism and by combining it with agency theory,this paper analyzes and compares four kinds of agency conflict both within and outside the controlling family.The focus is put on the agency conflicts caused by asymmetric altruism between family managers and family members,and between family business founders and inheritance successors.Finally,further research directions are suggested.

Subcontract-driven industry of east China has been pushed in unprecedented predicament. In this paper,it is thought that root cause of present predicament is the defect of the export-oriented subcontract industry itself,which is leeched on producers-driven and buyers-driven mode dominated by TNCs and international big buyers. Current Financial Crisis just acts as a magnifier. Endogenous upgrading of export-oriented subcontract industry evolves very slowly as a result of lacking of internal upgrading motion,however,erupting of Financial Crisis offers a turning point for exogenous upgrading. The key points for industry upgrading of east China district lie in two aspects:one is technology disruption,turn the value chain into learning chain and innovation chain to get rid of dependence on contract award; the other is market disruption,explore domestic market and segment market to get rid of dependence on international big buyers.

实践证明政府规制并不是解决经济系统缺陷的"灵丹妙药",同市场失灵一样,政府规制也会产生失灵问题。本文回顾了国内外学者对政府规制失灵问题的研究,说明政府规制失灵产生的原因及治理手段,并讨论了当前中国政府规制失灵的一个特殊原因——行政垄断。
